The term “WealthApp Financial Advisors Private Limited” “or “WEALTHAPP” or “us” or “we” refers to the owner of the Website. The term “you”, “I/We” refers to the user of our Website or services.

You understand and accept that WealthApp maintains the Website to provide visitors with information about WealthApp, its services and products and to facilitate communication with WealthApp and availing its services and products.

You also accept that for availing WealthApp’s services and/or products, you are required to read the below terms, and use of the Website or, installing, accessing or using the Services, you agree to these terms stated below constitutes your acceptance.

By availing its services and products you are agreeing to comply with and be bound by the following terms and conditions of use, which together with our privacy policy and disclaimers govern WealthApp relationship with you. CONFIRMATIONS AND DECLARATIONS

I/We hereby agree and give my/our consent for opening of my/our Investment account with WealthApp Financial Advisors Pvt. Ltd [herein after called as ‘WealthApp’] for online mutual fund transactions on www.Wealthapp.com.

I/We acknowledge that I/We have read and fully understood the terms and conditions ("Terms and Conditions") which are applicable for my/our investment account on www.Wealthapp.com and acknowledge that a copy of the Terms and Conditions is available on www.Wealthapp.com. I/We further hereby jointly and severally agree and undertake to abide by the said Terms and Conditions. I /We further acknowledge that this is an electronic record and is generated by a computer system and does not require any physical or digital signatures.

I/We further agree to accept the updated or revised Terms and Conditions as may be notified and updated from time to time on www.WealthApp.com and these revised and updated Terms and Conditions shall be applicable for transactions executed thereafter.

I/We understand, agree and confirm that, pursuant to the Terms and Conditions (as amended), I/We hereby authorize WealthApp to act on and execute my/our instructions for purchase /redemption / switch/sell or other transactions/ activities to forward my transaction(s) Mutual Funds/ Asset Management Companies / its Registrar and Transfer Agents and their related third parties for further processing thereof and allotment/redemption/switch/deal/etc of units of mutual funds.

I/We hereby declare and confirm that the particulars given by me/us are true and correct to the best of my/our knowledge and belief. I/We undertake to inform, in writing, promptly of any change in the particulars furnished and also simultaneously update the Know your Customer (KYC) /Central KYC Records (CKYC), information/bank mandates and related information maintained with KYC registration agencies (KRAs)/Asset Management Companies (AMC), and CKYC recordsmaintained by Central Registry of Securitization Asset Reconstruction and Security Interest of India (CERSAI).

I/We hereby authorise and allow WealthApp to download my KYC status /CKYC details/bank mandates including identity (name, PAN, age etc.), address and signature for sending it to Asset Management Companies (AMC) and their related third parties for the purpose of validation and to comply with the legal and regulatory requirements.

I/We hereby accept that the signature(s)that I upload in this website would be used by www.Wealthapp.com as a part of the AMC/RNT requirement, I understand and agree that the AMC shall be entitled to carry out further checks to validate the authenticity of the request and/ or to reject / disallow any transaction in connection herewith.

I/We undertake, agree and confirm to execute and deliver to WealthApp from time to time such other documents or confirmations as may be required for updation of records if any. I/We further undertake, agree and confirm that any false/misleading information given by me/us or suppression of any material fact will render my / our account liable for Termination with all consequences thereof.

I/We hereby give my consent to WealthApp, to be called on my contact number or email or address and provide me information on the above-mentioned product/services. I/We further give our consent to receive information of new products or services, information of new fund launches, etc.

Terms and Conditions

Confirmations and Declaration:

1) I / We have read and fully understood the contents (including all risks) of all the scheme(s) related documents including but not limited to Statement of Additional Information and Scheme Information Document, Key Information Memorandum (KIM), addenda issued thereto and Product Label of the Scheme(s) before making the investment.

2) I / We agree to abide by the terms, conditions, rules, regulations and take note of the risk factors of the respective scheme(s) as on the date of this transaction. The services or products offered on the Website do not constitute an offer to buy or to sell or a solicitation to any person in any jurisdiction. You understand and accept that not all the products and services offered on this Website are available in all geographic areas and you may not be eligible for all the products or services offered by WEALTHAPP on the Website. WEALTHAPP reserves the right to determine the availability and eligibility for any product or service.

3) I / We have neither received nor been induced by any rebate or gifts or favours, directly or indirectly in making the transaction(s).

4) I / We hereby further declare and confirm that I am / We are authorized to make the transaction(s)and the amount invested by me / us in the scheme(s) is through legitimate sources only, has been fully accounted for in records and does not involve and is not designed for the purpose of any contravention or evasion of any Act, Rules, Regulations, Notifications or Directions issued any statutory or regulatory or government authority from time to time.

5) The upfront fee, costs, expenses, taxes if any, on investment made by me/us shall be paid by me/us directly to WealthApp or to the relevant authorities, based on my/our assessment of various factors including the service rendered by WealthApp. I/We have been disclosed by the AMFI RegistrationNumber(ARN) holder all the commissions (in the form of trail and upfront commission or any other mode), payable to him/them for the different competing schemes of various Mutual Funds from amongst which the scheme is being recommended to me/us on the website-www.WealthApp.com.

6) I/We confirm and believe that a transaction executed by me is appropriate for me/us as per my/our investment objective. I/We further agree and acknowledge that WealthApp is only a facilitator and is not and cannot be a party to or control in any manner any transactions on the Website with AMC’s and others etc.

7) I understand, confirm and believe that that Mutual fund and Securities are subject to market risks and there can be no assurance that the objectives of the schemes will be achieved. I/We have read the scheme information and other related documents carefully before investing. I/We understand that here is no guarantee for any returns on investments made in scheme(s) and that past performance of fund/schemes does not indicate the future performance of the schemes and may not necessarily provide a basis of comparison with other investments.

8) I/We also agree to the terms and conditions for transacting through WealthApp Investment Account as mentioned in the related section.

9) WealthApp will not be soliciting investments from Non-Resident(s) of Indian Nationality /Origin on our online platform.

Terms and Conditions - WealthApp Investment Account

This Investment Account is provided by WealthApp Financial Advisors Pvt. Ltd. (WealthApp) to enable the registered investors to carry out online transactions in the units of the mutual funds. WealthApp is registered with Association of Mutual Funds in India (AMFI) with ARN Code 109127.

This Investment Account is available only to the users who have registered themselves on www.WealthApp.com.

This Investment Account is being enabled on www.WealthApp.com through a third party technology service provider who has entered into necessary agreements and has tied up with Banks, AMC’s , and Registrar and transfer Agents for offering various facilities through the internet, which facilities and services including Net Banking /Debit Card and other payment settlement facilities in respect of payment instructions initiated by the Investors using Online payment facility and other related services. Accordingly, it is available to those investors who hold bank account with banks who provide such facilities as per list below and the said investors have availed the facility for online payments / Net Banking.

Investor desirous of setting up a mandate will require to submit a signed NACH mandate to WealthApp Financial Advisors (P) Ltd in the applicable format. The NACH mandate authorises WealthApp Financial Advisors (P) Ltd, or its payments service provider, to debit the investors designated bank account (IFSC or MICR code to be mentioned and type of account to be ticked) upto the sum specified as a daily debit limit at the specified frequency. Investor can set up SIPs /make OTM purchases. Applicable rules of service providers for debits to the investor’s bank account and applicable NAV as per existing rules will be considered. Investor’s mobile number and email id need to be mentioned in the applicable columns. The onboarding date is considered for the commencement period for the mandate. Investors desirous of using debit card for making online transactions will ensure that the debit card attached to the designated bank account registered in the Investment Account is used and comply with the rules and regulations governing Third Party Payments. In case the application for subscription is done against the rules and regulations governing the Third-Party payment provisions, the AMC/Trustee retains the sole and absolute discretion to reject/not process such application and refund the subscription money and shall not be liable for any such rejection. The onus is on the investor to ensure the applicable debit card is used for making such payments and WealthApp will not be held responsible.

Third party payments:

A third-party payment is defined as a payment made from a bank account other than that of the beneficiary investor. In case of joint holders in a folio, the first holder will be considered as a beneficiary investor.

  • Gift given by parents/grandparents/related persons in favour of minor, not exceeding INR 50,000.
  • Invested by an employer on behalf of employee as payroll deductions for SIP.
  • A custodian making an investment on behalf of an FII/client.
  • Payment by Asset Management Company (AMC) to a Distributor empaneled with it on account of commission/incentive etc. in the form of the Mutual Fund Units of the Funds managed by the AMC through Systematic Investment Plans or Lumpsum Investment (with effect January 16, 2012).

This facility is made available with respect to select Mutual Funds only, with whom WealthApp has entered into a separate arrangement and accordingly provides online platform to deal in the units of the scheme of these mutual funds that are existing / launched / offered by them from time to time.

By subscribing for the WealthApp Investment Account, I/We agree and accept to abide and be bound by these terms and conditions which together with our privacy policy and disclaimers as available on the Website and updated from time to time. I/We further confirm and agree to execute all the necessary documents which may be needed from time to time, to send the necessary dealing details to the Mutual Funds / their authorised Registrar & Transfer Agents (RTAs) and related third parties to give effect to the transactions made through the WealthApp Investment Account.

1. Registration

i. The Registration to the WealthApp Investment Account is subject to the satisfactory completion of WealthApp Investment Account registration form and submission of all mandatory documents and valid Permanent Account Number ("PAN") and its subsequent verification by KYC Registration Agency (KRA)and Central KYC Records Registry (CKYC) by Central Registry of Securitization Asset Reconstruction and Security Interest of India (CERSAI). I/We confirm that the i/we have uploaded copies of PAN card, cancelled cheque leaf and my signature belongs to me and are presently valid and true verification documents of myself. I/We also declare that the signed specimen signature image is the authenticated signature of mine/ours for which I/we accept full responsibility and agree not to make any claims against WealthApp in respect there to. I am aware that this signature image will be affixed on the Account Opening Form (AOF) which will be forwarded to the AMCs/R&Ts.

ii. WealthApp Investment Account shall be activated for KRA verified investors only. Accordingly, while enrolling for the WealthApp Investment Account registration, your KRA verification process will be checked and you shall provide a copy of valid PAN, valid and clear copy of your signature, valid and clear copy of your registered bank’s cancelled cheque leaf. If a personalised cancelled cheque leaf is not available, a clear image of the bank statement with latest transactions along with cancelled cheque image to be provided. WealthApp will use these mandatory documents and your proof of completion KYC through SEBI KRA Agency to facilitate execution of your transaction. I/We undertake and confirm to provide other details as may be prescribed from time to time and these details shall get verified with KRA.

iii. I/We confirm and hereby agree and authorise WealthApp to submit all the KYC Documents (name, Pan, age, address, cheque copy and signature)/investor related documents, etc) to the respective Mutual Funds, Asset Management Companies and/ or their Registrar and Transfer Agents for the purpose of verification and validation and to comply with regulatory/statutory requirements notified from time to time. I/We further agree that signature available in the KRA records/systems – should this be AMC/RNT records would be used for signature verification for processing any request made by me/us through www.Wealthapp.com. I/We understand and agree that the AMC shall be entitled to carry out further checks to validate the authenticity of the request / or to reject/ disallow any transaction in the connection herewith.

iv. Once it is ascertained that the investor’s information and data is verified and complete in all respects the WealthApp Investment Account would be activated. The WealthApp Investment Account can be operated using your WealthApp user id and password. I/We irrevocably agree and unconditionally confirm that I/We shall be solely responsible to ensure protection and confidentiality of the user ID and password at all times and any disclosure thereof shall be entirely at my/our risk and accept the sole responsibility to maintain the secrecy of all information of confidential nature and shall ensure that the same is not disclosed to any other person. I/We further confirm and hereby agree to inform WealthApp immediately if I/We have any reason to believe that my/our password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorized manner. I/We irrevocably agree and unconditionally confirm that WealthApp shall not be responsible if someone else accesses my/our account through user ID and password.

v. I/We agree that access to WealthApp investment Account may be suspended / cancelled / terminated without liability to WealthApp, in whole or in part, at any time without prior notice if I/We do not comply with any of these Terms or any modifications thereof.

vi. I/We agree and understand that no change of address, mobile no., e-mail id and / or bank details can be allowed for such accounts, unless a duly signed hard copy of such written request is sent to the AMC/KRA Agency/Registrars for signature verification and other formalities.

2. General Conditions

i. I/We grant authority to WealthApp to process and transmit such request(s) made by me/us through the WealthApp Investment Account authenticated by the user ID and password or otherwise in writingduly signed by me/usincluding by email or sms and authorise WealthApp to execute my/our instructions with regards to purchase /redemption / switch/sell or other transactions/ activities in respect of mutual funds on my/our behalf, as may be instructed by me/us from time to time.

ii. I/We agree and confirm that WealthApp and / or its authorised representative is / are not in a position to verify that the transactions are indeed undertaken by me, through the WealthApp Investment Account and WealthApp shall be not held responsible for any transactions arising out of the misuse of the password by any person.

iii. I/We understand and agree that the transactions executed by me/us on WealthApp platform will be forwarded by WealthApp to the AMC through third party technology service provider/RTAs in electronic log file format (‘Feed File’) and AMC will process the transaction on the basis of such Feed File only. I/We further agree and consent to the transmission of data by electronic means through the WealthApp Investment Account from the website.

iv. I/We agree that submission of a transaction request through the WealthApp Investment Account shall not be deemed to be in acceptance of the transaction by Mutual Funds or its RTAs and the transaction could be rejected if does not comply with the provisions of the Scheme Information Document of the respective Mutual Fund or for any other reason which WealthApp and /Mutual Funds/RTAs deems fit.

v. I/We irrevocably and unconditionally agree and fully understand that there is no guarantee for any returns on investments made in Mutual Fund scheme(s) and that past performance of mutual fund/schemes does not indicate the future performance of the schemes and may not necessarily provide a basis of comparison with other investments.

vi. I/We irrevocably and unconditionally agree and fully understand that Mutual fund and securities are subject to market risks and there can be no assurance that the objectives of the schemes will be achieved.

vii. I/We irrevocably and unconditionally agree and fully understand that as with any investment in securities, the NAV of units issued under the schemes can go up or down depending on the factors and forces affecting capital markets and all such risks are solely mine. I/We have read the risks and invested in the said scheme after careful consideration of the risks.

ix. I/We agree that the transactions carried out through the WealthApp Investment Account in units of various schemes offered by the Mutual Funds shall be subject to the provisions contained in the respective scheme related documents including but not limited to Scheme Information Document and Statement of Additional Information or any addendum thereto and all such risks are solely mine.

x. I/We agree to comply with KYC (Know your Client/Customer) and KRA requirements as required under SEBI (KYC Registration Agency) Regulation 2011, SEBI Act 1992, Prevention of Money Laundering Act2002, applicable AMFI rules and regulations all laws and regulations including but not limited to the Foreign Exchange Management Act, Reserve Bank of India (RBI) guidelines to the extent applicable for availing the WealthApp Investment Account.

xi. I/We acknowledge and agree that dealing through the WealthApp Investment Account will be at my/our own risks. I/We shall solely be responsible to evaluate all the risks arising out of the same. The risks would, inter alia include:

- Internet Frauds - The WealthApp Investment Account may be susceptible to number of frauds, misuse, phishing, hacking and other actions, which could affect instructions sent to its authorised representatives. - There cannot be any guarantee from such internet frauds, phishing, hacking and other actions.

- The susceptibility of the WealthApp Investment Account to virus(es) or other malicious, destructive or corrupting codes or programs.

I/We further agree and acknowledge that the Mutual Fund/Asset Management Company will act only on the electronic transaction data forwarded by WealthApp and will be under no obligation to verify and/or confirm the authenticity of such transactions including the content, source etc. I/We hereby confirm that I/we will not hold the said Mutual Fund/Asset Management Company liable and/or responsible for any loss/damage that I/We may incur as a result of any such improper use of your password/Investment Services Account.

I/We agree and acknowledge that the filling in of transaction data/instructions for onward forwarding to the Mutual Fund/Asset Management Company would require you to incorporate proper, accurate and complete details. In the event of your account receiving an incorrect credit by reason of a mistake committed by any third party, the concerned mutual fund / asset management company or the bank shall be entitled to reverse the incorrect credit at any time without your consent. I/We shall be liable and responsible to WealthApp/concerned mutual fund/concerned asset management company for any unfair or unjust gain obtained by me/us as a result of the incorrect credit.

The mutual funds / asset management companies may at its discretion not give effect to your transactions where the mutual fund / asset management companies have reasons to believe (which decision of mutual fund / asset management companies, you shall not question or dispute) that the transactions are not genuine or are otherwise improper or unclear or raise a doubt. The respective mutual fund/asset management company shall not be liable for the loss of any opportunity costs incurred by me/us, if any transactions are not carried out for any reasons whatsoever. I/We understand that any payment made by you towards such transactions will be refunded to your account, after deduction of charges, if any. I/We understand that you may communicate directly with the Mutual Fund/Asset Management Company to resolve any clarifications that you may have pertaining to my/our investments in the Mutual Fund Schemes.

I /We also undertake to ensure that the bank details mentioned in the Investment Account belongs to me/us. Payment will be made from either from the registered bank account and/or via Debit card attached to the said bank account. I/We undertake to take the onus and comply with the rules and regulations governing Third Party Payments.

3. Transaction Processing & Conditions

i. The online requests will be executed based on the instructions of investors registered with WealthApp Investment Account. I/We agree and confirm that all the authorised and complete transactions will be processed at the applicable NAV (as defined in the Scheme Information Document of respective schemes of Mutual Funds) subject to receipt of funds and acceptance of your transaction by the Mutual Funds/ RTAs.

ii. I/We agree not to hold WealthApp / its authorised representatives liable for any loss that may arise to you as a result of the incorrect NAV applied on units allotted to you by the Mutual Fund.

iii. The money debited from your Bank Account shall be collected in the pool account of the third-party service provider and from there it will be credited / transferred to the respective Mutual Funds either onthe same day (in case the order is placed before the cut off time) or the next working day (in case the order is placed after the cut off time). Hence, you agree, understand and acknowledge that there would be an interim time lag in transferring / crediting the money from the pool account of the third-party service provider to the respective Mutual Fund account.

iv. If the payment is not made from a Registered Bank Account or froman account not belonging to the first named unit holder, your transaction will be rejected.

v. The units of the schemes shall be allotted, redeemed or switched, as the case may be, at the Net Asset Value (NAV) prevalent on the date of the transaction request by the Mutual fund, if the request for purchase, redemption or switch is placed before the cut-off time.

vi. I/We agree that any transaction request falling due on a holiday or after the cut off time mentioned on the website would be processed on the next working day and respective NAV would beapplicable as per the Mutual Fund's Scheme Information Document. The cut-off timings will be prior to the statutory cut-off timing specified under the SEBI Regulations and the Scheme Information Document for operational convenience.

vii. Holiday means banking and equity/debt/commodities market holidays as applicable in Mumbai, India. The transactions once placed cannot be cancelled.

viii. In respect of purchase of units of mutual fund schemes, the closing NAV of the day on which the funds are available for utilization by the AMC shall be applicable, irrespective of the time of receipt of purchase order.

ix. WealthApp /its authorised representative/service provider does not take any responsibility for any delay in acceptance / execution or non-execution / rejection of the order by the AMC/RNT. Once the information is provided by the Mutual Funds for the rejection and Investor will be informed accordingly.

x. I/We agree that there may be a time lag between the time a transaction is completed and before the same is updated in the records of WealthApp /its authorised representatives/service provider.

xi. There may be a possibility of variances in values arising out of delayed data feeds, transmission losses in electronic data, electronic fund transfer etc. for which WealthApp /its authorised representatives/ shall not be liable.

xii. In absence of sufficient funds (in case of purchase) / lesser quantity of units (in case of sell/ switch), WealthApp /its authorised representative/service provider shall not be responsible for the non-execution / rejection of your instructions.

xiii. I/We agree that the payment for the transactions undertaken by you through the WealthApp Investment Account will be facilitated through a payment gateway and WealthApp/ its authorised representatives/ service provider shall not be liable for any failures in the link or for any fraud (either payment gateway‟ s and/or bank‟ s end) that could take place at the time of making payment and you shall inform WealthApp /its authorised representatives/service provider immediately if your bank account is debited and wherein corresponding Units have not been allotted.

xiv. In case of rejection of purchase request by the mutual fund, the amount will be credited into your bank account only after the receipt of the refund from the relevant Mutual Fund.

xv. Redemption proceeds and dividend payouts shall get credited directly by the AMC into your bank account provided at the time of registration for WealthApp Investment Account. Provided, the bank account provided by you is from the list of banks with which the Mutual Fund has a direct credit arrangement. The list of such banks is mentioned in the Scheme Information Document or Key Information Memorandum (KIM) cum common application form of the respective Mutual Fund.

xvi. All the purchase transactions pertaining to mutual funds made on the website shall be allotted an online folio number and you will be able to access the transaction account statement in electronic format, and directly from the AMCs/RTAs.

xvii. I/We agree and acknowledge that transactions done through WealthApp Investment Account will be tagged with the Broker Code of WealthApp Financial Advisors Pvt. Ltd. (ARN 109127) and will not be treated as Direct.

xviii. The Customer has unfettered and unrestricted access to the Mutual Fund/ AMC and can transact in the same folio for financial / non-financial transactions without routing the transaction(s) through WealthApp.

xix. The payment gateway used for online subscription of units could also include debit card/IMPS. Such facility is enabled through third party technology service provider and would be available for selects banks and shall be subject to such conditions and limitations as may be applicable from time to time. I/We may get a levy/ charges separately by your bank which you must check before availing this facility. However, credits card will not be accepted for purchase of mutual funds.

xx. There may be applicable exit load/any other charge levied by the Mutual Funds will be chargeable in accordance with the Scheme Information Documents(SID) /Key Information Memorandum (KIM) and addendums issued thereto from time to time (collectively referred to as “scheme related documents”). I/We shall read all the scheme related documents before investing.

xxi. Investments from residents in the United States of America and Canada are not permitted on the WealthApp platform. WealthApp shall not be liable for rejections of such applications by Mutual Funds, where investor is a US or Canada resident.

xxii. WealthApp Investment Account is not offered nor is the fund managed or intended to serve as a vehicle for frequent trading that seeks to take advantage of short term fluctuations in the market, hence you agree and acknowledge that the Mutual Funds or its authorised registrars [RTAs] in their sole discretion may reject any purchase or exchange of Unit that it reasonably believes may represent a pattern of market timing activity involving the funds of the Mutual Fund.

4. Instructions for Nomination

WealthApp platform does not offer nomination facility. However, keeping the interest of our investors in mind, please ensure you request for applicable nomination forms and hand over a filled and signed nomination form to WealthApp Financial Advisors Pvt. Ltd.

1. Mutual Fund/s require a physical nomination form to be sent to them to add nominees against your investments. If you need to add nominee(s) for investments with said Mutual Fund, a physical nomination form signed by all the account holders is required. However, in case investors do not wish to nominate they must sign separately confirming their non-intention to nominate.

2. Unit holder can nominate (in the manner prescribed under the SEBI Regulations), maximum upto 3 person(s) in whom the Units held by him/her shall vest in the event of his/her death. It shall be mandatory to indicate clearly the percentage of allocation / share in favour of each of the nominees against their name and such allocation / share should be in whole numbers without any decimals making a total of 100 percent. In the event of the Unit holders not indicating the percentage of allocation / share for each of the nominees, the AMCs, by invoking default option shall settle the claim equally amongst all the nominees.

3. Nomination made by unit holder shall be applicable for investments in all the Schemes in the folio or account and every new nomination for a folio or account will overwrite the existing nomination. Thus, a new nomination request will imply simultaneous cancellation of existing nomination and request for fresh nomination.

4. The cancellation of nomination can be made only by those individuals who hold units on their own behalf single or jointly and who made the original nomination.

5. On cancellation of the nomination, the nomination shall stand rescinded and the AMC shall not be under any obligation to transfer the units in favour of the Nominee.

5. Indemnification

i. I/We agree to keep indemnified and hold WealthApp / its service provider, Mutual Funds, Asset Management Companies and their officers free and harmless at all times, against all monetary and other harm, injury, costs, losses, liabilities, damages, charges, actions, legal proceedings, claims and expenses and consequences including without limitation any costs between attorney and client, whether direct or indirect, by reason of using WealthApp Investment Account and/or doing and/or omitting to do anything in accordance with the Terms specified herein or any instructions relating to the online dealing in mutual funds through WealthApp Investment Account.

ii. I/We agree that WealthApp, Asset Management Companies and their officers are not liable for any loss caused through a fall in value of investments / NAV etc which can go up or down depending on the factors and forces affecting capital markets or any indirect, special or consequential loss you might suffer.

iii. I/We agree not to hold WealthApp / its service providers liable for any loss or damage caused by reason of failure / refusal or delay of the mutual fund to deliver any units purchased even though payment have been effected for the same or failure / refusal or delay in making payment in respect of any units sold though they may have been delivered. WealthApp / its service providers shall also not be liable for any delay, failure or refusal of the Mutual Funds or its authorised agent / RTAs in registering or transferring units to your names of for any interest, dividend or other loss caused to you arising therefrom. WealthApp / its authorised representatives/service providers shall not be liable for any delay / refusal / non-payment of any proceeds on redemption or dividend payouts by the Mutual Funds to your accounts for any reason whatsoever.

iv. I/We agree and undertake not to hold WealthApp / its authorised representatives/service providers liable for the following:

a. any delay or failure in processing the transactions carried out by you due to any system failure or for any other reason whatsoever.

b. for any loss or damage incurred or suffered by you due to any error, defect, failure or interruption in the dealing arising from or caused by any reason whatsoever.

c. for any fraud, negligence/mistake or misconduct by you including failure to comply with the KRA/KYC norms or provision of a valid PAN or PMLA requirements.

d. for any breach or non-compliance by you of these Terms.

e. for not permitting you to deal after such reasonable verification as WealthApp /its authorised representative may deem fit.

f. for permitting any person who provides WealthApp / its service providers with the password to deal with WealthApp Investment Account.

6. Suspension & Termination

i. The WealthApp Investment Account / services may at any time be suspended/disallowed/modified for such reason and for such time period as deemed fit like inactive / dormant user id, non-compliance of the terms stated herein, death, insolvency, bankruptcy of the investor, any other cause arising out of the operation of law or such other reason as deems proper.

ii. WealthApp Investment Account may be terminated by giving you 30 days’ intimation/notice to your registered e-mail id or by way of SMS to your registered phone number. I/We may terminate the account at any time by giving prior written notice or deactivation of your user id and password. In the event of termination for any reason whatsoever, you shall be liable to pay all outstanding charges and dues, if any.

iii. The WealthApp Investment Account will also be automatically suspended if the customer ceases to be a registered user of www.Wealthapp.com. In case you cease to be an Investor/Customer of WealthApp then all your details will be provided to the Mutual Fund/AMCs and as are required by them to enable you to deal and interact directly with the AMCs/Mutual Fund. Notwithstanding anything stated above, kindly note that you have unfettered and unrestricted access to Mutual Fund/AMC and you may approach the Mutual Fund/AMC directly any time.

7. Amendments

These terms and conditions may be amended for such reason as deem fit and proper including but not limited to comply with changes in law or regulation, correct inaccuracies, omissions, errors or ambiguities, reflect changes in the process flow, scope and nature of the services, company re-organization or Investor requirements

8. Intellectual Property Rights

All rights to this Website, the content displayed on the website and / or for providing WealthApp Investment Account and/or technology (in any form) made available to you as a part of or in conjunction with the Services are the intellectual or proprietary property of WealthApp Financial Advisors Pvt. Ltd. These intellectual property in all material provided on the website (excluding any applicable third party materials) is held by WealthApp unless otherwise stated. Except as expressly permitted herein or on the website, none of the material provided on the website may be copied, reproduced, distributed, republished, downloaded, displayed, posted, transferred or transmitted in any form or by any means, including, but not limited to, electronic, mechanical, photocopying, recording, or otherwise, without the prior written permission of WealthApp. Further, you shall not transfer, reverse engineer, decompile, disassemble, modify or create derivate works based on the materials provided on the Website.

The copyright, trademarks, service marks, registered designs, database rights, patents and all similar rights in and relating to the website arising or subsisting in any country in the world and the information contained in it are owned by WealthApp, its licensors or relevant third party content providers. Further, he/she agrees that WealthApp shall not be liable for errors, omissions disruption, delay, interruption, failure, in providing the service for reasons beyond its control.

iii. The transaction execution services and the data, reports and information and recommendations, if any provided are incidental to the distribution services of WealthApp and shall not in any manner be constructed as offering of any kind of investment advisory services or any kind of legal, tax or financial advice. Whilst every reasonable precaution has been taken to ensure the accuracy, security and confidentiality of data and information available through the WealthApp Investment Account, WealthApp/its service provider shall not be held responsible for any consequence of any action carried out by you.

viii. The services/facility may be suspended or withdrawn at any time, and you acknowledge that the WealthApp Investment Account is also subject to interruption.

ix. WealthApp Investment Account is linked to the backend infrastructure of a third-party service provider / Bank etc. You acknowledge and agree that the Website and the linked backend infrastructure may be inaccessible and/or unavailable at times. In such an event WealthApp will not be liable for any damage, liability, action, cause of action, suit, claim, demand, loss, cost, and expense arising directly or indirectly from or in connection with such system inaccessibility and/or unavailability.

x. WealthApp makes no express or implied warranty:

a. that the dealing through the WealthApp Investment Account will be uninterrupted or free from errors or that any identified defect will be corrected;

b. that the WealthApp Investment Account service is free from any virus or other malicious, destructive or corrupting code, program;

c. in relation to non-infringement of any third-party rights, merchantability, satisfactory quality or fitness for a particular purpose.

xi. WealthApp/its authorised representative and its service provider shall not be liable for any loss or damage or other consequences arising from any suspension, breakdown, withdrawal, interruption, technical flaw, the presence of virus or other malicious, destructive or corrupting code, programs over the WealthApp Investment Account or otherwise and any consequent delay or failure in completion of any payment or other instructions as a consequence thereof arising from the use or inability to use the WealthApp Investment Account.

xii. WealthApp/its authorised representative and its service provider shall not be liable for any failure to perform any of its obligations or service standards etc if the performance is prevented, hindered or delayed by a Force Majeure Event, which includes any event due to any cause beyond the reasonable control including, without limitation, unavailability of any communication system including Internet, breach or virus in the processes or payment mechanism, sabotage, fire, flood, explosion, acts of God, civil commotion, strikes or industrial action of any kind, riots, insurrection, war, acts of government, computer hacking, unauthorized access to computer data and storage devices, computer crashes, breach of security and encryption codes.

xiii. The Investment Profile of the Client is prepared by WealthApp and is based on WealthApp's understanding of assessing risk and suitability in line with the objectives and requirements of the Client as per the details provided. WealthApp may use the information provided herein for the purposes of undertaking an internal "risk assessment" of the Client. The series of questions herein may help WealthApp to appraise the Client's risk profile, particular needs, financial situation, investment objectives and investment in financial instruments. However, please note that the questions are only meant to be a guide to help determine the Client's profile and shall not be considered to be conclusive. The Client is required to ensure that the Client has provided accurate and complete information. The Client is aware, acknowledges and agrees that if the Client provides inaccurate and/or incomplete information, and/or chooses not to disclose certain information, such action will adversely affect the results of the risk assessment. WealthApp may provide information in relation to the purchase/sale of financial instruments on the basis of such internal risk assessment. However, this risk assessment is for internal purposes alone and does not in any manner guarantee or represent that the information provided/to be provided to the Client will take into account the individual characteristics of the Client and/or will be suited to the Client's individual tax/legal/financial circumstances or needs. Information about WealthApp, its businesses, disclosure on conflict of interest and the details of commission structure receivable from asset management companies to WealthApp is available on the website www.WealthApp.com.

10. Confidentiality

WealthApp shall make reasonable efforts to keep all the information relating your dealings through WealthApp Investment Account confidential. Provided however that WealthApp shall be entitled to disclose any information or particulars pertaining to you to any authority, statutory or otherwise as may be required by law or third party service provider required to effect the transactions requested by you.

11. Governing Law and Jurisdiction

In case of any dispute, either judicial or quasi-judicial the same will be subject to the exclusive jurisdiction of the courts in Bangalore. These terms shall be construed in accordance with the laws prevalent in India and are subject to SEBI guidelines, circulars, press releases or notifications that may be issued by SEBI from time to time or the Government of India, to regulate the activities of WealthApp.

12. Terms and conditions for Online Systematic Investment Plans (SIP) through NACH/ECS mandate

i. You understand and acknowledge that there could be a minimum time gap of atleast30 days from the date of submission of physical mandate, to enable the activation / registration of online SIP facility, subject to the successful validation of the mandate by the Banks. Likewise, there shall be a Minimum gapofatleast 30 days from the date of receipt of SIP deactivation mandate and last investment made under SIP.

ii. Upon successful registration of mandate, you can start the online SIP facility for making investment in mutual funds a fixed amount of money at a fixed frequency of time based on your convenience and choice.

iii. I/We grant Authority to WealthApp / its authorized transaction and payment processing service provider (third party service provider) to debit your registered Bank Account through RBI’S ECS (Electronic Clearing System) mechanism or National Payments Corporation of India’s NACH (National Automated Clearing House) to enable the collection of the SIP installments and transferring to the respective AMC’s bank account. The conditions related to NACH are applicable as and when such a facility is made available.

iv. I/We agree and acknowledge that in order to enable you to get the NAV on the SIP date (T date) chosen by you, debit of the SIP amount from your Bank Account shall happen few days prior to the SIP date (T). e.g. T-1,T-2, T-4 etc., depending upon ECS / NACH debit cycle of your Bank, which could vary from location to location, as per ECS / NACH mechanism. I/We understand and acknowledge that, WealthApp/ its third-party service provider shall do a backward calculation from T date and depending upon ECS / NACH debit cycle, your account will be debited on T - no. of days, such that on T date (SIP day), the funds reach the respective AMC’s Bank account and the transaction data reach the respective registrar of AMC, to enable them to allot units as per NAV on T date.

v. I/We agree and shall ensure to keep sufficient funds available in your Bank account at least 4 days prior to SIP date (T date).I/We understand and acknowledge that SIP installment and allotment of units shall be subject to realization of funds. I/We shall not hold WealthApp/its third-party Service Provider liable, in case the SIP installment process could not be completed due to insufficient funds in your Bank account on any particular ECS / NACH debit cycle date i.e. on T - no. of days. In such case, the SIP installment shall lapse for that T of the month/quarter/half year/year, as the case may be.

vi. I/We agree, understand and acknowledge that in the entire process there would be an interim time lag in debiting the money from your Bank Account and the actual transferring / crediting to the respective AMC‟ s Bank account, as the money after the debited from your Bank Account shall be lying in the ECS / NACH debit cycle and / or third party pool account, before the actual transfer of funds to AMC’s bank account on SIP date.

vii. I/We can view the units allotted by AMC/registrar on the next day of SIP date (i.e. SIP day + 1 working day).

viii. I/We also will not hold WealthApp responsible in case the SIP amount has been debited to my/our bank account and for some reason, the SIP has been erroneously rejected by the RNT and the amount has been /in the process of being refunded by the RNT to me/us.

13. Offline to Online Conversion:

Any investments made by me in the offline mode may be converted to online mode by Wealthapp Financial Advisors Pvt. Ltd

14. WealthApp Sprint:

By enrolling into the WealthApp Sprint program, I/we confirm that I/we have read the below mentioned terms and conditions, and agree to them.

i. This service is currently available only on Android enabled mobile devices only and permission to access SMS is mandatory.

ii. WealthApp cannot be held liable if it is unable to read SMSs received by the me (debits or credits) due banking network/service provider/mobile app issues/constraints.

iii. Monthly Cap for Sprint can be set-up by each customer by setting the ‘savings target’.

iv. Placing & Execution of the transaction with the AMC – there is dependency on third party for the placing & execution of the transactions and WealthApp cannot be held responsible for failure of such third-party fulfillments. Approved NACH mandate is necessary for availing this service.

v. Savings Computation / Methodology – 5% of each spend recognized by WealthApp systems on SMSs received by the users is added to a virtual pool. Every time the virtual pool reaches or exceeds Rs. 100, a purchase order into Reliance Liquid fund – Treasury Plan (Growth option) is placed automatically using a pre-approved NACH mandate provided by the user for the entire amount in the virtual pool. This is done through the course of the month until such time the total invested amount through this program in a calendar month is less than or equal to the monthly cap (or savings target) set by the user. Once the threshold of monthly cap is reached, no further activity is carried out under this program for the remaining part of the calendar month and it only restarts at the beginning of the subsequent month.

vi. Triggering purchase transactions - Purchase is triggered using NACH mandates when the amount in virtual pool has reached Rs.100. WealthApp will not be held responsible for any bank charges arising due to insufficient funds and it is the customer’s responsibility to ensure the bank account is sufficiently funded.

vii. Once the transaction is triggered, the investment order will be placed by the T+3rd business day. The funds offering this feature may change from time to time.

viii. Respective NAVs applicable to the day for each purchase, redemption and other transactions will be allotted under this program as follows:
